Terms of Service
1. Introduction
Welcome to NodeHarbor. These Terms of Service govern your use of our website and the IT consultancy services we provide. By accessing our website or engaging our services, you agree to these terms.
2. Services
NodeHarbor provides IT consultancy services including but not limited to embedded systems development, IoT infrastructure, cloud solutions, and infrastructure automation. The specific services to be provided will be detailed in a separate Statement of Work or Service Agreement agreed upon by both parties.
3. Client Responsibilities
Clients are responsible for providing timely and accurate information necessary for service delivery, designating a primary contact person, and providing reasonable access to systems and resources required to complete the agreed services.
4. Intellectual Property
Unless otherwise agreed in writing:
- NodeHarbor retains ownership of pre-existing intellectual property.
- Upon full payment, clients receive a non-exclusive license to use deliverables for their internal business purposes.
- Custom-developed software or solutions may be subject to specific licensing terms outlined in the project agreement.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical information, and any data provided by either party marked as confidential.
6. Payment Terms
Payment terms will be specified in each Service Agreement. Generally, we require a deposit before work begins, with remaining payments due according to the agreed schedule. Late payments may incur additional fees.
7. Limitation of Liability
NodeHarbor's liability is limited to the amount paid for the specific services in question. We are not liable for indirect, consequential, or incidental damages, including but not limited to loss of profits, data, or business opportunities.
8. Termination
Either party may terminate services with written notice as specified in the Service Agreement. Upon termination, the client is responsible for payment of services rendered up to the termination date.
9. Governing Law
These terms are governed by the laws of the jurisdiction where NodeHarbor is registered. Any disputes shall be resolved in the courts of that jurisdiction.
10. Changes to Terms
NodeHarbor reserves the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
